REPORT OF THE BYLAWS COMMITTEE
AAUW-MA Annual Meeting
April 30, 2022
The Bylaws Committee was tasked with examining the 2016 version of the AAUW-MA Bylaws
- to bring them up to date with current practices
- to streamline where possible
- to correct errors
- to read for consistency
The major changes were related to the make-up of the board and its officers
- all instances of the word “president” were changed to “president/administrator”
- the elected board will be the president/administrator and the finance officer
- other members of the board shall be appointed positions
- branch presidents/administrators remain as members of the board
A few changes were made to state meetings
- the word “convention” was replaced with “annual meeting”
- at annual and special meetings, all members in good standing have one vote, eliminating the out-of-date delegate method of voting
Other changes were mainly housekeeping
- “AAUW-MA” or Affiliate replaces the word “state” where appropriate
- errors in Article numbering were corrected
The updated Bylaws will be voted on a t this meeting since
- in 2021, they were not finished in time for the required 30-day notice to members
- we were awaiting mandated changes from AAUW which were not anticipated before June 2021
Next step
- members will be sent the Bylaws to review before the annual meeting
- members will vote on the revised Bylaws at the 2022 annual meeting
- the committee recommends voting to approve
